**Short answer:** A BVI business company for a prop firm costs USD 550 in government incorporation fees (up to 50,000 authorised shares), must be formed through a licensed registered agent, and must file its directors within 15 days and members and 10% beneficial owners within 30 days. Corporate income tax is 0%. We found no BVI FSC statement on simulated prop firms as of 12 Oct 2026; dealing in investments needs an FSC investment business licence.

## At a glance

- **Regulator:** BVI Financial Services Commission (FSC). We found no FSC statement on prop trading firms or simulated evaluations as of 12 Oct 2026; its public warnings target unlicensed financial businesses generally. [1]
- **What triggers a licence:** Dealing in investments needs an FSC investment business licence: seven categories, no fixed capital requirement, approval in about 1–2 months on average (consultancy figures). [1]
- **Vehicle:** BVI business company under the BVI Business Companies Act 2004, formed and maintained through an FSC-licensed registered agent with a BVI registered office. [2]
- **Government fees:** Incorporation and annual fee USD 550 for up to 50,000 authorised shares, USD 1,350 above that; initial register of directors filing USD 100 (in force since 1 Jan 2023). [3]
- **New filing deadlines:** First director within 15 days of incorporation and register of directors filed within 15 days of that; register of members and 10%+ beneficial owners filed within 30 days. [4]
- **Annual return:** Annual financial return filed with the registered agent within 9 months of year end; late fines USD 300, then USD 200 a month, up to USD 5,000, then possible strike-off. [5]
- **Economic substance:** Nine "relevant activities" under the Economic Substance Act 2018 bring substance tests, including distribution and service centre business and holding business. [6]
- **Tax:** 0% corporate income tax; no capital gains tax; no withholding tax on dividends, interest, royalties or technical service fees. [7]
- **Banking reality:** The BVI "is not a banking jurisdiction", though "BVI companies are still accepted by banks in many jurisdictions" (GlobalBanks). [8]
- **Data protection:** BVI Data Protection Act 2021, in force since 9 July 2021, overseen by an Information Commissioner. [9]
- **Sandbox:** The FSC FinTech Regulatory Sandbox opened on 31 Aug 2020, but "if you are not ready to launch, you will not be eligible to enter." [10]

A prop firm sells evaluations on simulated accounts and pays rewards from simulated results; a broker deals in real investments for clients. The BVI regulates the second through the Financial Services Commission. A BVI company is cheap to form and pays no corporate income tax, which is why "bvi company formation" is one of the most searched offshore terms in our data, but a prop firm also needs a bank, card processing and a defensible answer to "where is this business actually run?"

This page covers what is specific to the BVI. For the launch order across platform, CRM, payments and website, start at [the start-a-prop-firm hub](https://pipvalley.com/start-a-prop-firm).

## Does a prop firm need a BVI licence?

Not as a rule, on the public record. We found no statement from the BVI FSC about prop trading firms, funded accounts or simulated evaluations as of 12 October 2026. The FSC's public warnings name unlicensed financial businesses in general, not evaluation firms. Absence of a statement is not permission, and a regulator that has not spoken can still act.

A firm that deals in investments as agent or principal needs an FSC investment business licence. A licensing consultancy lists seven categories (dealing in investments, arranging deals, investment management, investment advice, custody, administration and operating an investment exchange), no fixed capital requirement (the FSC assesses capital against your business plan) and approval in about one to two months on average. That is the "BVI forex licence" founders search for, and it is a broker licence, not a prop-firm one; see the [forex broker licence guide](https://pipvalley.com/guides/forex-broker-license).

The FSC also runs a FinTech Regulatory Sandbox, opened on 31 August 2020. An FSC official said at launch: "It's not an incubator sandbox...if you are not ready to launch, you will not be eligible to enter."

## How do you form a BVI company?

You form a BVI business company under the BVI Business Companies Act 2004 through an FSC-licensed registered agent; you cannot file directly. The company must keep a registered agent and registered office in the BVI. Amendments that took effect from January 2025 tightened the timetable:

- Choose the authorised share count: up to 50,000 shares costs USD 550 in government fees, more than 50,000 costs USD 1,350 (both also the annual fee, since 1 January 2023).
- Appoint the first director within 15 days of incorporation (cut from six months) and file the register of directors within 15 days of that appointment; the initial filing fee is USD 100.
- File the register of members with the Registry within 30 days of incorporation.
- File details of beneficial owners holding 10% or more within 30 days.
- Each year, file the annual financial return with your registered agent within nine months of year end.
- Check with your lawyer whether any of the nine economic substance "relevant activities" applies (distribution and service centre business and holding business are two of them).

## What does a BVI company cost, and how long does it take?

The government fees are fixed and small; the registered agent's fee is quoted by each agent and recurs every year. Incorporation itself is quick once the agent has completed its due diligence on you. The table lists only the published government figures and deadlines. ## Can a BVI prop firm get a bank account and card processing?

Usually somewhere else. GlobalBanks describes the BVI as "not a banking jurisdiction", while noting that "BVI companies are still accepted by banks in many jurisdictions". For a prop firm that means enhanced KYC, a real operating address and people you can name, and a business description that matches your website word for word.

Card acquirers treat an offshore evaluation business as high risk. Founders typically combine an orchestration layer, a high-risk acquirer, a crypto processor for challenge purchases and a payout rail for traders. See payments for a new prop firm, [crypto payments for prop firms](https://pipvalley.com/guides/prop-firm-crypto-payments) and [payout providers](https://pipvalley.com/guides/prop-firm-payout-providers).

## What are the tax points to raise with an adviser?

The BVI charges 0% corporate income tax, no capital gains tax, and no withholding tax on dividends, interest, royalties or technical service fees, according to advisory firm H&CO. The catch is management and control: if your directors and staff make decisions from another country, that country may treat the company as resident or as having a permanent establishment there. Ask a tax adviser where the firm is actually run before you rely on the 0%.

## What must a BVI prop firm's website show?

A BVI company handles personal data under the BVI Data Protection Act 2021, in force since 9 July 2021 and overseen by an Information Commissioner. If you sell to EU or UK traders, their privacy, cookie and consumer rules apply as well, so build for the strictest market you sell into.

- Entity disclosure: the BVI company name, company number and registered agent address in the footer and terms, plus your operating address if different.
- A simulated-trading notice and a statement that the firm is not licensed by the BVI FSC (unless it is).
- A restricted-countries list enforced at checkout and KYC; see [restricted countries](https://pipvalley.com/guides/prop-firm-sanctions-and-restricted-countries).
- A privacy policy under the Data Protection Act 2021 and a cookie banner that meets your strictest market.
- Terms that match what your bank and processor were told; see [what legal documents a prop firm needs](https://pipvalley.com/guides/what-legal-documents-does-a-prop-firm-need).

## When should you not choose the BVI?

- If you need a bank account in the same place as the company: the BVI is not a banking jurisdiction.
- If you and your team live in a high-tax country and run the firm from there: the 0% may not survive a residence test.
- If processors in your target markets ask for onshore substance: [Cyprus](https://pipvalley.com/jurisdictions/cyprus), [the UK](https://pipvalley.com/jurisdictions/united-kingdom) or [Dubai](https://pipvalley.com/jurisdictions/dubai) may bank more easily.

## Launch steps

1. **Confirm the product sits outside FSC licensing:** Ask a BVI lawyer whether your evaluation, payouts and any broker link avoid "dealing in investments".
2. **Pick a registered agent:** Choose an FSC-licensed registered agent, compare its annual fee, and pass its due diligence on owners and source of funds.
3. **Incorporate the company:** Pay the USD 550 government fee (up to 50,000 shares) and receive the certificate of incorporation through the agent.
4. **File directors, members and owners:** Appoint the first director within 15 days and file registers of directors, members and 10% beneficial owners on the new deadlines.
5. **Open banking and payment routes abroad:** Apply to banks or e-money institutions outside the BVI, a high-risk card route and a crypto processor in parallel.
6. **Set up platform, KYC and payouts:** Choose your platform, CRM, KYC provider and payout rail; see KYC for prop firms.
7. **Publish the website and diarise filings:** Launch with entity disclosure and simulated notices, and diarise the annual fee and the nine-month annual return.

## Questions

### How much does BVI company formation cost?

BVI company formation costs USD 550 in government fees for a company authorised to issue up to 50,000 shares, or USD 1,350 above that, according to Portcullis (fees in force since January 2023). The same amount is due every year. Registered agent fees are extra, quoted by each agent, and recur annually.

### Does a prop firm need a BVI forex licence?

Not as a rule: we found no BVI FSC statement on simulated-evaluation prop firms as of 12 October 2026. Dealing in investments as agent or principal needs an FSC investment business licence, which a consultancy says takes about one to two months with no fixed capital. Confirm your structure with a BVI lawyer.

### What are the new BVI filing deadlines?

Since the January 2025 amendments, a BVI company must appoint its first director within 15 days, file the register of directors within 15 days of that, and file its register of members and 10% beneficial owners within 30 days of incorporation, according to Ocorian. Your registered agent handles the filings.

### Is there corporate tax in the BVI?

The BVI charges 0% corporate income tax, with no capital gains tax and no withholding tax on dividends, interest or royalties, according to H&CO. Tax can still arise in the country where the firm is actually managed, so ask an adviser there before relying on the 0%.

### Can a BVI company open a bank account?

Yes, usually abroad. GlobalBanks calls the BVI "not a banking jurisdiction" but says BVI companies are accepted by banks in many jurisdictions. Prop firms should expect enhanced KYC, questions about where the business is run, and a high-risk card processor and crypto route alongside any account.

### What happens if a BVI company files its annual return late?

Mourant says a late annual financial return draws a USD 300 fine for the first month, then USD 200 a month up to USD 5,000, and a company still unfiled at the maximum may be struck off. The return is filed with your registered agent within nine months of year end.
