**Short answer:** Canada has no national securities regulator and no licence written for simulated-evaluation prop firms as of 12 Oct 2026, but provinces have acted: the OSC issued a cease trade order against My Forex Funds in Sep 2023 and has warned that named prop firms are "not registered in Ontario". Federal incorporation costs CAD 200 online (one day); federal tax is 15% general or 9% for small Canadian-controlled companies.

## At a glance

- **Regulators:** The CSA is "the umbrella organization of Canada's provincial and territorial securities regulators"; CIRO (named 1 Jun 2023) oversees investment dealers and mutual fund dealers. There is no single national securities regulator. [6][7]
- **OSC action (Sep 2023):** The OSC issued a temporary cease trade order against Traders Global Group (My Forex Funds), investigating possible "fraud, unregistered trading and the illegal distribution of securities". [1]
- **Costs ruling (Feb 2026):** An Ontario court ordered the OSC to pay My Forex Funds CAD 80,000 in costs, reported as the highest such amount imposed on the regulator. [3]
- **OSC warnings:** The OSC has warned that Forex Prop Firm (14 Apr 2025) and Fortraders (2 Mar 2021) are "not registered in Ontario to engage in the business of trading in securities". [4][5]
- **Federal incorporation:** Corporations Canada: CAD 200 online and 1 day; express service in 4 hours for an extra CAD 100. Annual return CAD 12 online. [9]
- **Ontario incorporation:** Ontario charges CAD 300 to incorporate, whether processed immediately or within 15 business days. [10]
- **Director residency:** Federal (CBCA s.105(3)): at least 25% of directors must be resident Canadians, or one if fewer than four directors. Ontario repealed its residency rule from 5 Jul 2021. [11][12]
- **GST/HST:** Register once taxable supplies pass CAD 30,000 over four consecutive quarters; non-resident digital vendors use a simplified regime in force since 1 Jul 2021. [13][15]
- **Corporate tax:** Federal net rate 15% general, 9% for Canadian-controlled private corporations on small-business income; Ontario adds 11.5% or 3.2%. [16]
- **Québec French:** Commercial publications, including on websites, must be in French under the Charter of the French language; a court fined Loft Hôtel inc. CAD 3,000 (Aug 2026). [17]
- **Privacy:** PIPEDA covers private-sector commercial activity; Québec's Law 25 allows administrative penalties up to CAD 10 million or 2% of worldwide turnover. [19][20]
- **Anti-spam (CASL):** Commercial electronic messages need consent; the maximum penalty is CAD 10,000,000 per violation for a business. [22]

A prop firm sells evaluations on simulated accounts and pays rewards from simulated results; a dealer trades real securities or derivatives for clients. In Canada that line is drawn province by province, because securities law is provincial and coordinated through the Canadian Securities Administrators (CSA). The Canadian Investment Regulatory Organization (CIRO) supervises investment dealers and mutual fund dealers that are registered with those provincial regulators.

This page covers what is specific to Canada. For the launch order across platform, CRM, payments and website, start at [the start-a-prop-firm hub](https://pipvalley.com/start-a-prop-firm), and for the general legal question read [do prop firms need a licence](https://pipvalley.com/guides/do-prop-firms-need-a-license).

## Have Canadian regulators acted against prop firms?

Yes, more directly than most countries. In September 2023 the Ontario Securities Commission issued a temporary cease trade order against Traders Global Group Inc., the company behind My Forex Funds, saying it was investigating possible breaches "related to fraud, unregistered trading and the illegal distribution of securities" and that the firm was "not authorized to offer trading in securities to anyone in Ontario". Investment Executive reported the OSC's allegation that "there is virtually no real trading taking place", and noted that the allegations had not been proven.

The case later turned. After the parallel US case was dismissed (see [our US page](https://pipvalley.com/jurisdictions/united-states)), a Canadian court ordered the OSC in February 2026 to pay the company CAD 80,000 in costs, which Bloomberg Government described as the highest such amount imposed on the watchdog. The OSC also keeps investor warnings naming prop-style firms: Forex Prop Firm (14 April 2025) and Fortraders (2 March 2021) are each described as "not registered in Ontario to engage in the business of trading in securities".

We found no CSA-wide notice, and no statement from CIRO, the BCSC or the Alberta Securities Commission, written about simulated-evaluation firms as a category as of 12 October 2026. The pattern is case by case. Prop Firm Match keeps a list of firms that restrict applications from Ontario residents, which shows how some operators have priced the risk.

## What triggers registration in Canada?

The OSC's wording points at the triggers: trading in securities, advising, and distributing securities without a prospectus. Contracts for difference and forex contracts can be derivatives or securities under provincial law, so a firm that routes funded traders to a live broker, copies their trades or offers anything a regulator could read as an investment contract should expect questions. A lawyer in each province you sell into should review your product, terms, website and affiliate copy.

Money services are a separate federal regime. FINTRAC treats "dealing in virtual currency", foreign exchange dealing and "remitting or transmitting funds" as money services business activities, and a firm with no place of business in Canada can still be a "foreign MSB" if it directs those services at people in Canada. A prop firm that only buys services from regulated processors is usually outside that, but crypto payouts run in-house deserve a specific question to your lawyer.

**Canadian regulators a prop firm founder meets (sources below, checked 12 Oct 2026)**

| Body | Role | Prop-firm relevance |
|---|---|---|
| Provincial regulators (OSC, AMF, BCSC, ASC...) | Register dealers and advisers; issue warnings and orders | OSC acted against My Forex Funds and lists unregistered prop-style firms |
| CSA | Umbrella body coordinating provincial regulators | No prop-specific notice found |
| CIRO | Self-regulatory body for investment and mutual fund dealers | Relevant only if you register as or partner with a dealer |
| FINTRAC | AML regulator; registers money services businesses | Relevant if you deal in virtual currency or transmit funds |

## How do you incorporate a prop firm in Canada?

You can incorporate federally under the Canada Business Corporations Act (CBCA) or in a province. Federal incorporation through Corporations Canada costs CAD 200 online and takes one day, with an express four-hour service for an extra CAD 100; the federal annual return costs CAD 12 online. Ontario charges CAD 300 to incorporate provincially. A federal company still registers extra-provincially where it carries on business.

Director residency decides the vehicle for many foreign founders. Under CBCA s.105(3), "at least twenty-five per cent of the directors of a corporation must be resident Canadians", or at least one if the company has fewer than four directors. Ontario repealed its own residency requirement from 5 July 2021, according to RSM Canada, which is why non-resident founders often incorporate in Ontario. **Canadian incorporation: published fees and timings (checked 12 Oct 2026)**

| Item | Figure | Source |
|---|---|---|
| Federal incorporation (online) | CAD 200, 1 day | Corporations Canada |
| Federal express service | Extra CAD 100, 4 hours | Corporations Canada |
| Federal annual return | CAD 12 online | Corporations Canada |
| Ontario incorporation | CAD 300 | Ontario.ca |
| Resident directors (federal) | 25%, or 1 if fewer than 4 directors | CBCA s.105(3) |
| Resident directors (Ontario) | Requirement repealed 5 Jul 2021 | RSM Canada |

## What are the tax points to raise with an adviser?

The Canada Revenue Agency sets the federal net corporate rate at 15%, or 9% for Canadian-controlled private corporations claiming the small business deduction; Ontario adds 11.5% (general) or 3.2% (small business), on a CAD 500,000 business limit. GST/HST registration is compulsory once taxable supplies pass CAD 30,000 over four consecutive calendar quarters, and rates differ by province: 13% HST in Ontario, 5% GST in Alberta, British Columbia and Québec, with Québec's 9.975% QST on top.

Foreign prop firms selling evaluations to Canadians are not outside the system either. Since 1 July 2021 a simplified GST/HST registration regime applies to certain non-resident vendors of digital products and services. Ask a Canadian tax adviser how evaluation fees, refunds and rewards to traders are treated before you price for Canada.

## What must a prop firm website show for Canadian traders?

Language and consent rules bite before any securities question. Québec's government states that "commercial publications must be written in French", including on websites, and in August 2026 a court fined Loft Hôtel inc. CAD 3,000 for an English-only site. Since 1 June 2025, Bill 96 has also extended French-language obligations to firms with 25 to 49 employees. Marketing email needs consent under CASL, where the maximum penalty is CAD 10,000,000 per violation for a business.

- Entity disclosure: legal name, jurisdiction of incorporation and address in the footer and terms.
- A French version of commercial pages if you sell into Québec; see [prop firm website design](https://pipvalley.com/services/prop-firm-website-design).
- A simulated-trading notice, published rules and plain refund terms; see [what legal documents a prop firm needs](https://pipvalley.com/guides/what-legal-documents-does-a-prop-firm-need).
- A privacy policy under PIPEDA, and Law 25 consent and governance for Québec residents (penalties up to CAD 10 million or 2% of turnover).
- Consent-based email capture with an unsubscribe in every message, for CASL.
- A restricted-provinces list if your lawyer advises excluding Ontario or others, enforced at checkout and KYC; see [restricted countries](https://pipvalley.com/guides/prop-firm-sanctions-and-restricted-countries).

> PipValley builds prop firm websites with French and English versions, consent-first forms, entity disclosures and restricted-region logic, on any platform. See [the launch service](https://pipvalley.com/services/launch-a-prop-firm).

## When should you not choose Canada?

- If you cannot afford provincial legal advice: the OSC has shown it will act against prop-style firms selling into Ontario.
- If you want a non-resident board on a federal company: the CBCA residency rule applies, so look at Ontario or another vehicle.
- If you will not translate for Québec: either exclude Québec or budget for French.
- If your platform plan depends on US-restricted tools: Canadian traders are usually accepted, but check each platform. Compare [the US](https://pipvalley.com/jurisdictions/united-states) and [the UK](https://pipvalley.com/jurisdictions/united-kingdom) on the [jurisdictions index](https://pipvalley.com/jurisdictions).

## Launch steps

1. **Map the provinces you will sell into:** List the provinces you will market to and ask a securities lawyer in each whether your evaluation, payouts and any broker link raise registration questions.
2. **Choose federal or provincial incorporation:** Weigh the CBCA director-residency rule against Ontario's repeal; file online (CAD 200 federal, CAD 300 Ontario).
3. **Register for tax:** Get a business number, register for GST/HST once you pass CAD 30,000 in taxable supplies, and agree year-end and bookkeeping.
4. **Check FINTRAC exposure:** If you will handle crypto or transmit funds yourself, ask whether money services business registration applies.
5. **Open banking and payment routes:** Apply to a bank, a high-risk card route, a crypto processor and a payout rail in parallel with one written description of the simulated model.
6. **Choose platform, CRM and KYC:** Pick a platform that accepts Canadian traders and a KYC provider; see [the futures market page](https://pipvalley.com/start-a-prop-firm/futures) and [the forex market page](https://pipvalley.com/start-a-prop-firm/forex).
7. **Publish a bilingual, compliant website:** Launch with entity disclosure, simulated notices, French for Québec, CASL-compliant forms and a restricted-regions list.

## Questions

### Are prop firms legal in Canada?

Prop firms are not banned in Canada, and Canadians trade with many of them. But the Ontario Securities Commission acted against My Forex Funds in 2023 and has warned that named prop-style firms are not registered in Ontario. Whether your product needs registration depends on its design, so ask a Canadian securities lawyer in each province you sell into.

### Which regulator covers prop firms in Canada?

There is no national securities regulator. Each province and territory has its own, coordinated through the Canadian Securities Administrators; the OSC, AMF, BCSC and ASC are the largest. CIRO supervises registered investment and mutual fund dealers. FINTRAC handles money services and anti-money-laundering registration.

### How much does it cost to incorporate in Canada?

Federal incorporation through Corporations Canada costs CAD 200 online and takes one day, with an express four-hour option for an extra CAD 100; the annual return is CAD 12. Ontario charges CAD 300 to incorporate provincially. Legal, accounting and registered-office costs are extra.

### Can a non-resident own and direct a Canadian prop firm?

Non-residents can own Canadian companies. A federal CBCA company needs at least 25% resident Canadian directors, or one if it has fewer than four. Ontario removed its residency requirement on 5 July 2021, so non-resident founders often incorporate there. Confirm the choice with a Canadian lawyer.

### Does a prop firm website need French for Québec?

If you market commercially to Québec, the Charter of the French language requires commercial publications, including websites, to be in French. A court fined a company CAD 3,000 for an English-only site in August 2026. Either publish a full French version or exclude Québec, and ask a Québec lawyer which route fits.
