**Short answer:** Saint Lucia does not license forex business: the FSRA said on 8 January 2026 that "forex business is not licensed in Saint Lucia" and that documents claiming otherwise are "false and misleading", listing 16 entities. A Companies Act company costs XCD 750 to incorporate (XCD 1,500 in one day). Companies pay 30% on Saint Lucia-source income under a territorial system. Confirm with a Saint Lucia lawyer.

## At a glance

- **Regulator:** Financial Services Regulatory Authority (FSRA), which oversees non-bank financial institutions such as insurers, credit unions, money services and pension funds. [3][1]
- **Forex licence:** None. FSRA warning notice, 8 Jan 2026: "forex business is not licensed in Saint Lucia". Documents claiming FSRA registration or licensing "are false and misleading". The notice lists 16 entities. [1]
- **Licence for a simulated model:** We found no FSRA statement on simulated-evaluation prop firms as of 12 Oct 2026. Never imply FSRA registration or a licence. [1][2]
- **Companies Act fees:** Incorporation XCD 750, or XCD 1,500 expedited within one day; name search and reservation XCD 25; annual return XCD 25, late fee XCD 50 a month after 1 April. [8]
- **IBC fees (agent):** Expanship reports IBC incorporation on a quarterly sliding scale of USD 400 to USD 100 under SI 2024 No. 147, and a USD 400 annual fee due each 15 January. [9]
- **IBC tax status:** IBCs registered from 1 Jan 2019 are tax resident under the territorial system; older IBCs kept benefits until 30 Jun 2021 (EY). The IBC Act bars banking, insurance or fund business without FSRA consent. [6][5]
- **Corporate tax:** Flat 30% for resident companies (33.33% for some companies in arrears); territorial since 2019, so certain foreign-source income is not taxed (PwC, reviewed 12 Oct 2026). [7]

- **Banking reality:** CSIS reported the Eastern Caribbean was hit hard by the loss of correspondent banking relationships. [11]

Saint Lucia appears in offshore broker and prop firm searches because of its International Business Companies (IBC) regime. That regime changed in 2019, and the regulator has since been explicit about forex. A prop firm sells evaluations on simulated accounts and pays rewards from simulated results; it is not a broker, but in Saint Lucia the way you describe licences matters a great deal.

This page covers the FSRA’s position, what it means for a prop firm, company vehicles and fees, tax, banking, the website and when to choose somewhere else. Every figure was checked on 12 October 2026. Demand for "forex license in Saint Lucia" is small; we cover it because founders keep being sold the idea.

> This page explains how things generally work in Saint Lucia as of 12 October 2026. It is not legal, tax or financial advice and does not create a lawyer–client relationship. Rules and fees change; confirm every point with a qualified lawyer and tax adviser in Saint Lucia before you act.

## Is there a forex licence in Saint Lucia?

No. In a warning notice dated 8 January 2026 and signed by its acting Executive Director, the FSRA said: "forex business is not licensed in Saint Lucia. Therefore, documents provided by a forex business company which indicate that it is registered, licensed or in any way affiliated with the Authority are false and misleading." The notice lists 16 entities whose websites claimed FSRA registration.

The FSRA oversees non-bank financial institutions such as insurers, credit unions, money services businesses and pension funds. Securities business in the Eastern Caribbean falls to a regional regulator, the ECSRC. We found no FSRA statement about simulated-evaluation prop firms as of 12 October 2026 The notice is aimed at forex firms, but any prop firm that implies FSRA registration falls squarely within it.

## What does that mean for a prop firm?

A Saint Lucia company can sell simulated evaluations without claiming any licence, if a Saint Lucia lawyer agrees the model is not regulated activity there. What it cannot do is say, imply or display that it is registered, licensed or affiliated with the FSRA. Phrases like "regulated in Saint Lucia" or an FSRA logo in the footer are exactly what the notice calls false and misleading.

If your plan includes brokering live trades or holding client money, Saint Lucia has no forex licence to give you. You would need a recognised licence elsewhere, such as [Mauritius](https://pipvalley.com/jurisdictions/mauritius) or [Cyprus](https://pipvalley.com/jurisdictions/cyprus). ## Which company vehicle, and what does it cost?

The International Business Companies Act is still on the books, but it no longer offers a tax holiday. EY reported that IBCs registered before December 2018 kept their tax benefits until 30 June 2021, and that IBCs registered from 1 January 2019 are tax resident under the territorial system. Section 5 of the Act bars incorporating an IBC for international banking, insurance or mutual fund business without FSRA consent. A domestic company under the Companies Act is the other route, with fees in Eastern Caribbean dollars.

> Expanship notes that IBCs must file income tax returns since 1 July 2021 and that a local attorney’s statutory declaration is needed at formation. Compare places in [prop firm company formation cost](https://pipvalley.com/guides/prop-firm-company-formation-cost).

| External company registration | XCD 3,000 | Attorney General’s Chambers |

| Registered agent | About USD 300–700 a year (market estimate) | Expanship |

## What tax does a Saint Lucia prop firm pay?

PwC lists a flat 30% corporate income tax for resident companies (33.33% for some companies in arrears). Since 31 December 2018 a territorial system applies to all companies, so certain income from sources outside Saint Lucia is not taxed. Substance requirements apply. Whether evaluation fees paid by foreign traders are foreign-source, and whether the country you run the company from taxes it, are questions for a Saint Lucia tax adviser.

## Banking and payments

Banking is hard across the Eastern Caribbean; CSIS reported that the region was hit hard by the loss of correspondent banks. A forex-adjacent business with an FSRA warning in the background will face extra questions. Plan to bank abroad, with card routes through orchestration ([Paytiko](https://pipvalley.com/tech/paytiko), BridgerPay), a crypto gateway ([Match2Pay](https://pipvalley.com/tech/match2pay)) and a payout provider ([Rise](https://pipvalley.com/tech/rise) or Wise Business). See [forex payment gateways](https://pipvalley.com/guides/forex-payment-gateway-for-prop-firms) and [crypto payments](https://pipvalley.com/guides/prop-firm-crypto-payments).

## What must a Saint Lucia prop firm’s website show?

A Saint Lucia prop firm’s website must never imply an FSRA licence, because the regulator has called such claims false and misleading. Saint Lucia’s Data Protection Act 2011 is only partly in force, with parts commenced on 31 January 2023, so follow the privacy rules of the markets you sell into. Use the [website checklist](https://pipvalley.com/guides/prop-firm-website-checklist) and [disclaimer generator](https://pipvalley.com/tools/prop-firm-disclaimer-generator).

- Entity disclosure: company name, registration number and registered address, plus your operating address.
- A simulated-trading notice and a plain statement that the firm is not licensed or regulated by the FSRA.
- No FSRA logos, "regulated" badges or registration claims anywhere, including affiliate creatives.
- A restricted-countries list enforced at checkout and KYC; see [restricted countries](https://pipvalley.com/guides/prop-firm-sanctions-and-restricted-countries).
- Privacy policy and cookie banner that meet the strictest market you sell to.
- Language: English is the language of official business; launch in your traders’ languages.

## When should you not choose Saint Lucia?

- You expected a cheap forex licence: there is none, and the FSRA publishes the names of firms that claim one.
- You wanted zero tax: new IBCs are tax resident and file returns.
- You need local banking or card acquiring: Eastern Caribbean correspondent banking is thin.
- You want the fastest, lightest company: [St Vincent](https://pipvalley.com/jurisdictions/st-vincent) registers LLCs within 24 hours; [Seychelles](https://pipvalley.com/jurisdictions/seychelles) is the common Indian Ocean alternative.

## Launch steps

1. **Confirm you need no licence:** Ask a Saint Lucia lawyer to confirm your simulated-evaluation model is not regulated activity and how to describe it.
2. **Choose IBC or Companies Act company:** Compare the IBC (annual fee, tax returns since 2021) with a domestic company (XCD 750 to incorporate), with your tax adviser.
3. **Appoint a registered agent:** A licensed agent is required for an IBC for the life of the company; budget an annual retainer.
4. **Open accounts abroad:** Apply to banks, e-money, card routes and crypto gateways in parallel.
5. **Publish careful disclosures:** Entity details, "not licensed or regulated by the FSRA", simulated-trading notice and restricted countries.
6. **Diary the deadlines:** IBC fee by 15 January, annual return by 1 April and the income tax return.

## Providers worth a look

## Questions

### Can you get a forex licence in Saint Lucia?

No. The FSRA said in its warning notice of 8 January 2026 that "forex business is not licensed in Saint Lucia" and that documents claiming FSRA registration or licensing are false and misleading. It listed 16 entities. If you need a licence for a brokerage arm, you will need a recognised regulator elsewhere.

### How much does it cost to form a company in Saint Lucia?

A Companies Act company costs XCD 750 to incorporate, or XCD 1,500 expedited within one day, plus XCD 25 for name reservation and XCD 25 per annual return, under the Revised Laws 2023. For an IBC, Expanship reports a quarterly sliding incorporation fee of USD 400 to USD 100 and a USD 400 annual fee, plus agent costs.

### Do Saint Lucia IBCs still pay no tax?

No. EY reported that IBCs registered from 1 January 2019 are tax resident, and PwC lists a flat 30% rate on resident companies under a territorial system that leaves certain foreign-source income untaxed. IBCs have had to file income tax returns since July 2021. Ask a Saint Lucia tax adviser how this applies to evaluation fees.

### Can a Saint Lucia prop firm say it is registered with the FSRA?

Not unless the FSRA has actually registered it for a regulated activity, and forex is not one. The FSRA’s 2026 notice calls claims of FSRA registration, licensing or affiliation by forex companies false and misleading. Remove any such wording, logos or badges from your website, terms and affiliate materials.

### How long does it take to set up a Saint Lucia company?

Expanship estimates about one business day for name approval and drafting, one to three business days for the Registrar and two to three more for certificates and stamped documents. A Companies Act company can be incorporated within one day for the expedited XCD 1,500 fee. Bank accounts abroad take longer.
