South Africa forex licence and prop firms: FSCA, company, cost.
South Africa has one of the largest retail trading audiences in Africa, and "prop firms in South Africa" is searched far more than any licence term. Founders ask two things: does a local prop firm need an FSCA licence, and what does a South African company, bank and website involve? Here is the public record.

- Regulator
- The FSCA licenses financial services providers under FAIS: Category I for advice or intermediary services, Category II for discretionary services. 1

- We found no FSCA statement, warning or licence category aimed at prop or funded-trader firms as of 12 Oct 2026; its 2026 actions target unlicensed CFD and forex platforms holding client money. 4
- CFD trigger
- Issuing CFDs needs an over-the-counter derivative provider (ODP) authorisation: "the FSP is operating as a ODP and requires an ODP licence" (Moonstone on FSCA, Apr 2023). 15
- Enforcement example
- Globex360 was fined R50,000 for acting as an ODP without authorisation; it "is not an authorised ODP as envisaged in the regulations" (Feb 2023). 3
- FSP application fees
- Category I R2,544; Category II and IIA R15,390; Category III R46,241 (Registrar fee determination, GN 89 of 9 Feb 2018; we found no newer schedule). 7

- Local precedent
- OANDA Prop Trader launched in South Africa in Jul 2024 through OANDA Global Markets, regulated by the BVI FSC rather than the FSCA. 22
A prop firm sells evaluations: a trader pays a fee to trade a simulated account under published rules, and traders who pass can receive rewards calculated from simulated results. A South African financial services provider does something else: it advises on or intermediates real financial products, and an ODP issues derivatives such as CFDs. Which side of that line your product sits on decides whether FSCA licensing is your problem.
This page covers what is specific to South Africa. For the launch order across platform, CRM, payments and website, start at the start-a-prop-firm hub; for the market itself see how to start a forex prop firm.
Does a prop firm need an FSCA licence in South Africa?
Not as a rule, on the public record, but nobody has said so officially either. We searched the FSCA's press releases and warnings and South African financial press and found no statement about prop trading firms, funded accounts or simulated evaluations as of 12 October 2026. The claim that prop firms "do not need an FSCA licence" appears mainly on firms' own pages and affiliate sites, which is not a regulator's view.
What the FSCA does police is real financial services. Moneyweb reported on 1 October 2026 that the regulator cancelled or withdrew the licences of several CFD platforms after complaints, with allegations including "operating a fraudulent forex or crypto trading platform" and "unauthorised use of client funds". At an enforcement roadshow in 2024, FSCA head of enforcement Gerhard van Deventer called CFDs "extremely high-risk financial products". A prop firm that markets heavily to South Africans, takes deposits, or links funded traders to a live broker should expect the same scrutiny. Our guide to whether prop firms will be regulated tracks the signals.
What does a South African forex licence involve?
"Forex licence South Africa" usually means one of two authorisations. An FSP licence under the FAIS Act covers advice and intermediary services (Category I) or discretionary management (Category II). Issuing CFDs or other OTC derivatives as principal needs an ODP authorisation under the Financial Markets Act regulations. According to Moonstone's reading of the FSCA's 2022/23 enforcement report, a firm that issues CFDs itself "is operating as a ODP and requires an ODP licence", and an intermediary must make sure the liquidity provider or ODP is "properly licensed to issue CFDs".
Brokers that want to serve South Africans directly take both: Capital.com announced in June 2026 that it had been authorised as an ODP and a Category I FSP. A simulated-evaluation firm does neither of those things, but a prop firm owned by or tied to a broker should map the relationship with a lawyer. See the forex broker licence guide and is a prop firm a broker.
| Authorisation | When it applies | Published figure |
|---|---|---|
| FSP Category I (FAIS) | Advice or intermediary services on financial products | R2,544 application; annual levy from R4,111.39 |
| FSP Category II / IIA | Discretionary management | R15,390 application |
| ODP authorisation (FMA) | Issuing OTC derivatives such as CFDs as principal | No published fee found |
| CASP licence | Crypto asset services (crypto are financial products since Oct 2022) | 300 of 512 applications approved by Dec 2025 |
| Simulated evaluations only | No FSCA category found | Company, tax, consumer and data law still apply |
How do you register a company in South Africa?
Companies register with the Companies and Intellectual Property Commission (CIPC). CIPC lists a private company registration at R125 and online name reservation at R50 per transaction (R75 manually), with a reserved name held for six months. Since 24 May 2023 companies must file beneficial ownership information, and from 1 July 2024 CIPC will not accept an annual return without it. Annual return fees scale with turnover, from R100 below R1 million to R3,000 at R25 million or more, according to a compliance provider's summary of CIPC tables.
Compare those costs with other places in prop firm company formation cost and budget the whole launch with the launch cost calculator.
- Reserve the name online (R50), then register the private company (R125).
- File beneficial ownership details with CIPC and keep them current.
- Register for income tax with SARS, and for VAT once taxable supplies pass R2.3 million in 12 months.
- Register an information officer with the Information Regulator under POPIA.
- Diarise the CIPC annual return, due within 30 business days of the incorporation anniversary.
What about exchange control, banking and payments?
Exchange control shapes both sides of a South African prop firm. For traders, Exchange Control Circular 6/2026 raised the single discretionary allowance to R2 million per individual per calendar year from 8 April 2026, alongside the unchanged R10 million foreign capital allowance; evaluation fees paid abroad by South Africans run through those allowances and their banks. For the firm, paying rewards to traders abroad and receiving fees from them goes through authorised dealers, so ask your bank how it will classify the flows before launch.
Crypto is moving into the same regime. Baker McKenzie reported in March 2026 that the Minister of Finance said draft regulations would "include crypto assets in our capital flow management regime", after a court held in 2025 that crypto is not "capital" under the existing rule (that ruling is under appeal). Card processors are cautious about investment-adjacent merchants: PayFast's prohibited list covers "securities, business opportunities and multi-level marketing", which is why founders compare high-risk routes in prop firm payment processing fees and crypto payments for prop firms. We found no press reports of South African banks closing prop firm accounts as of 12 October 2026.
What are the tax points to raise with an adviser?
PwC lists South African corporate income tax at 27% for years of assessment ending on or after 31 March 2023. SARS raised the compulsory VAT registration threshold from R1 million to R2.3 million from 1 April 2026, and the same threshold now applies to foreign suppliers of electronic services to South Africans, which matters if you sell evaluations into South Africa from abroad. How evaluation fees, refunds and rewards paid to traders are treated, and whether rewards to residents are reportable, are questions for a South African tax adviser before you set prices.
What must a South African prop firm's website show?
POPIA governs personal data, enforced by the Information Regulator, which can impose administrative fines up to R10 million. Online sales also fall under the Electronic Communications and Transactions Act, whose section 44 gives consumers a seven-day cooling-off right for services; ask your lawyer how the exclusions apply to evaluations that start immediately.
- Entity disclosure: company name, CIPC registration number and address in the footer and terms.
- A simulated-trading notice and a statement that the firm is not an FSCA-authorised FSP or ODP (unless it is); draft it with the disclaimer generator.
- A POPIA privacy notice naming the information officer, and consent for marketing messages.
- Refund and cancellation terms reviewed against the ECTA cooling-off rules; see prop firm terms and conditions.
- ZAR pricing or a clear currency note, and a restricted-countries list enforced at checkout and KYC; see restricted countries.
- English is the working language for most South African trading audiences; add others only where you market.
When should you not choose South Africa?
- If your model issues CFDs or holds client money: you are in ODP and FSP territory, with the FSCA actively cancelling licences in 2026.
- If you need to move money offshore quickly: exchange control and authorised-dealer reporting add friction both ways.
- If you mainly sell to traders outside Africa: an offshore company with no local licence may bank as easily; compare Mauritius and Seychelles.
- If you want a regulated badge to show traders: compare licence routes on the jurisdictions index before choosing.

Your website, whatever platform you choose
Every route on this page still needs a marketing website: the pricing table, rules, payouts, FAQ, legal pages and the checkout hand-off to your platform. Platforms and white labels run the dashboard; they don’t build that site. PipValley does, for any platform, from $1,490 (pricing, launch service, what the site includes).
Questions
Are prop firms legal in South Africa?
Prop firms operate in and sell into South Africa, and as of 12 October 2026 we found no FSCA statement or licence category aimed at simulated-evaluation firms. Licensing applies to advice, intermediary services and issuing derivatives such as CFDs. Have a South African lawyer confirm your product sits outside FAIS and ODP rules before launch.
How much does an FSCA licence cost?
The Registrar's fee determination (GN 89 of 2018) sets FSP application fees at R2,544 for Category I and R15,390 for Category II. Annual FSCA levies for 2026/27 start at R4,111.39 plus R593.87 per key individual. We found no published ODP application fee; ask a compliance practitioner for a full quote.
How much does it cost to register a company in South Africa?
CIPC lists private company registration at R125 and online name reservation at R50, with the name held for six months. Beneficial ownership filing has been compulsory since May 2023. Annual returns cost from R100 depending on turnover. Bank, accounting and legal fees are extra.
Can South African traders pay offshore prop firms?
Generally yes, within exchange control limits. From 8 April 2026 individuals have a single discretionary allowance of R2 million per calendar year, plus a R10 million foreign capital allowance subject to approval. Banks act as authorised dealers and may ask what payments are for, so firms should describe evaluation fees accurately.
What tax does a South African prop firm pay?
Companies pay 27% corporate income tax on taxable income, according to PwC. VAT registration is compulsory once taxable supplies exceed R2.3 million in 12 months, from 1 April 2026. Ask a South African tax adviser how evaluation fees, refunds and trader rewards are treated before you set prices.
