US prop firm regulation: CFTC, NFA, company, cost.
"Prop firm USA" searches come from two sides: founders who want to run a firm from the US, and founders abroad who want US traders. Both meet the same questions. What the CFTC has done, when NFA registration applies, which platforms still serve Americans, and what an LLC, an EIN and a payment stack really involve.

A prop firm sells evaluations: a trader pays a fee to trade a simulated account under published rules, and traders who pass may receive rewards calculated from simulated results. In the US the question is not only whether that model is lawful, which our guide are prop firms legal in the US covers, but how to run one from the US or for US traders without stepping into futures, forex or securities activity that needs registration.
This page covers what is specific to the United States: regulators and enforcement, the registration routes large firms are taking, platform access, company formation by state, tax, payments and the website. For the full launch order start at the start-a-prop-firm hub; for the market itself see how to start a futures prop firm.
What happened in CFTC v. My Forex Funds?
It is the one US enforcement case aimed squarely at an evaluation firm. On 29 August 2023 Judge Robert B. Kugler of the District of New Jersey signed a statutory restraining order freezing the assets of Traders Global Group and its founder, and the CFTC announced charges that My Forex Funds had fraudulently taken over $300 million from customers "hoping to become professional traders". The Ontario Securities Commission acted in parallel (see our Canada page).
The case collapsed. In an order signed on 13 May 2025, Judge Edward S. Kiel dismissed it with prejudice. A Special Master had found that the CFTC made "false representations" and acted "willfully and in bad faith on several occasions", and the court ordered the agency to pay the defendants' attorneys' fees and costs for the sanctions motion. That ruling punished how the case was run. It did not declare the evaluation model lawful, and a US lawyer will tell you not to read it that way.
Does a US prop firm need CFTC or NFA registration?
Not as a rule for a purely simulated product, on the public record. We found no CFTC customer advisory or NFA notice written for prop or funded-trader firms as of 12 October 2026. Registration questions start when the business touches real orders. The NFA defines an introducing broker as a person or firm that "solicits or accepts orders to buy or sell futures contracts, commodity options, retail off-exchange forex contracts, or swaps but does not accept money or other assets from customers", and "all registered IBs must be NFA Members".
That is the route large US futures firms are taking. Topstep launched an affiliated introducing broker in January 2026 with Plus500 providing futures commission merchant (FCM) clearing, and Finance Magnates reported in June 2026 that "large American prop firms are already beginning to seek registration with the CFTC". A founder who plans to move funded traders onto live accounts, copy their trades or take a share of brokerage should budget for that route from day one.
Stocks and options are a separate regime under the SEC and FINRA. A stocks evaluation firm that routes real orders needs a broker-dealer relationship; the SEC's 2024 "dealer rule", which could have caught some proprietary traders, was vacated by a Texas federal court in November 2024 and the SEC dropped its appeal on 20 February 2025. See the stocks market page and is a prop firm a broker.
| Route | What it involves | Published cost |
|---|---|---|
| Simulated evaluations only | Company, consumer, tax and AML rules; no CFTC licence written for the model | State LLC fee (USD 100–300) |
| Introducing broker for live futures | NFA membership; orders cleared by an FCM; no customer money held | USD 200 application + USD 85 per principal/AP |
| Stocks or options with real routing | Broker-dealer relationship under SEC and FINRA rules | Ask a securities lawyer |
| Offshore firm serving US traders | Platform terms, US marketing exposure, state consumer law | Depends on structure |
Which platforms can a prop firm offer US traders?
Fewer than before for forex and CFD firms. In February 2024 Funding Pips' CEO said that "MetaQuotes decided to abruptly halt services due to active US accounts, with no prior notice", and insiders told Finance Magnates that MetaQuotes was flagging platforms over active US clients. In July 2026 Spotware said that, "following an internal regulatory assessment during the first quarter of 2026", it had decided "to restrict the onboarding of US-based traders" on cTrader. Our guide why are prop firms banning US traders traces the commercial fallout.
Futures firms are in a different position because the products are exchange-listed and the platforms were built for US traders. Founders typically pick from Tradovate Prop, NinjaTrader Prop, front ends running on Rithmic data and routing, or Volumetrica. Real-time exchange data is licensed separately: confirm with your platform provider which CME Group data agreements and fees apply to your evaluation and funded accounts before you price them. Compare options in what platform should a prop firm use.
Which state should a US prop firm form an LLC in?
Most founders form a limited liability company; a C-corporation suits outside investors. The state fee is small next to the registered agent, bookkeeping and legal work, and the state you form in does not change federal rules. Form where you actually operate unless your lawyer and tax adviser give a reason not to, because doing business in another state usually means registering there too. Published fees from the Secretaries of State:
- Apply for an EIN online after formation: the IRS says "you never have to pay a fee for an EIN" and issues it immediately when approved.
- Foreign owners of a single-member LLC: file Form 5472 with a pro forma Form 1120 every year; the penalty for missing it is USD 25,000.
- Record beneficial owners and keep the operating agreement consistent with what your bank and processor are told.
- Compare all-in formation costs across places in prop firm company formation cost.
| State | Formation fee | Annual cost | Source |
|---|---|---|---|
| Wyoming | USD 100 (Articles of Organization) | Annual report licence tax from USD 60 | Wyoming Secretary of State, schedule effective 1 Jul 2026 |
| Delaware | USD 110 | USD 400 annual LLC tax, due 1 June | Delaware Division of Corporations (fee schedule revised 1 Aug 2026) |
| Florida | USD 125 incl. registered agent designation | Annual report USD 138.75, due by 1 May | Florida Division of Corporations |
| Texas | USD 300 (Certificate of Formation, Form 205) | Franchise tax report due 15 May; no tax due below USD 2.65m revenue (2026–27) | Texas SOS; Texas Comptroller |
How is a US prop firm taxed?
PwC summarises the federal position plainly: "The United States taxes resident corporations at a flat rate of 21%." An LLC is more flexible. The IRS treats a single-member LLC as disregarded from its owner and a multi-member LLC as a partnership, unless it files Form 8832 to be taxed as a corporation. State income and franchise taxes vary; Texas, for example, sets a no-tax-due threshold of USD 2.65 million for 2026 and 2027. How evaluation fees, refunds and trader rewards are characterised, and whether rewards paid to traders abroad raise reporting duties, are questions for a US tax adviser before launch.
Will US banks and card processors take a prop firm?
Card acceptance is the hard part. Stripe's restricted-businesses page lists "Funded prop trading" under prohibited financial products and services, which rules out the default choice for most US start-ups (see Stripe in our tech data). Founders typically combine a bank account for operating costs, a high-risk card route through an orchestration layer, crypto checkout and a payout rail for traders, and they apply to several in parallel with the same written description of the simulated model.
Compare routes in prop firm payment processing fees, forex payment gateways, crypto payments for prop firms and payout providers.
What must a US prop firm's website show?
The Federal Trade Commission Act declares "unfair or deceptive acts or practices in or affecting commerce" unlawful, and every state has its own consumer-protection statute enforced by its attorney general. We found no state attorney general action against an evaluation firm as of 12 October 2026, but refund terms, auto-renewing subscriptions and earnings claims are exactly what these laws police. Many US futures firms also use simulated-performance wording modelled on CFTC Rule 4.41, whose legend begins "These results are based on simulated or hypothetical performance results that have certain inherent limitations"; the rule itself applies to commodity pool operators and trading advisors, so ask your lawyer whether and where you need it.
- Entity disclosure: the legal name, state of formation and address in the footer and terms.
- A plain simulated-trading notice wherever accounts, results or rewards appear; draft one with the disclaimer generator for your lawyer to review.
- No income claims in ads or affiliate content; see prop firm marketing claims and affiliate programmes.
- Refund, cancellation and renewal terms written in plain English; see prop firm terms and conditions.
- A restricted-countries list enforced at checkout and KYC; see restricted countries.
When should you not base a prop firm in the US?
- If your model depends on MetaTrader or cTrader for US traders: platform access, not company law, is the constraint.
- If you cannot fund a lawyer for the registration question: the My Forex Funds case shows how costly a dispute with a federal regulator is, even when the firm prevails.
- If you need mainstream card processing on day one: plan for high-risk and crypto routes instead.
- If you are not a US person and will never operate there: compare the UK, Cyprus or Dubai on the jurisdictions index, and decide your US-trader policy separately.

Your website, whatever platform you choose
Every route on this page still needs a marketing website: the pricing table, rules, payouts, FAQ, legal pages and the checkout hand-off to your platform. Platforms and white labels run the dashboard; they don’t build that site. PipValley does, for any platform, from $1,490 (pricing, launch service, what the site includes).
Questions
Can you start a prop firm in the USA?
Yes, US-based prop firms operate openly, especially in futures, and there is no US licence written for simulated evaluations as of 12 October 2026. Whether your product needs CFTC, NFA, SEC or FINRA registration depends on whether it touches real orders or customer money, so have a US lawyer review the design before launch.
Did the CFTC win its case against My Forex Funds?
No. The CFTC charged My Forex Funds in August 2023, but on 13 May 2025 a New Jersey federal judge dismissed the case with prejudice and ordered the agency to pay the fees of the sanctions motion, after findings that it acted in bad faith. The ruling concerned the CFTC's conduct, not whether the evaluation model is lawful.
Why are US prop firms registering as introducing brokers?
Because some want to move traders onto live futures accounts and earn brokerage, which needs registration. Topstep launched an introducing broker with Plus500 clearing in January 2026, and Finance Magnates reported in June 2026 that large US firms are seeking CFTC registration. NFA charges USD 200 to apply plus USD 85 per principal.
What is the cheapest state to form a prop firm LLC?
On state filing fees alone, Wyoming is cheapest of the four we checked at USD 100, with an annual report from USD 60. Florida is USD 125, Delaware USD 110 plus a USD 400 annual tax, and Texas USD 300. Registered agent, legal and accounting fees usually outweigh these, and you may need to register where you actually operate.
Can a non-US founder open a US LLC for a prop firm?
Yes, non-residents can form LLCs and get an EIN, which the IRS issues free. A foreign-owned single-member LLC must file Form 5472 each year with a pro forma Form 1120, and the penalty for missing it is USD 25,000. Banking and card processing are harder than formation, so plan those early.
Can a US prop firm use Stripe?
Not on Stripe's published terms: its restricted-businesses page lists "Funded prop trading" as a prohibited financial service, updated 22 September 2026. Most firms use specialist high-risk processors through an orchestration layer, plus crypto checkout and a separate payout rail. Describe the simulated model identically to every provider.
